House of Training

Our firm is pleased to contribute to the professional education of the Luxembourg legal and financial community through a dedicated training session on due diligence and share purchase agreements (SPAs), delivered at the House of Training.

The session is held by Jens Konrad and designed to provide participants with a practical and structured understanding of the key legal and commercial aspects of M&A transactions. It covers the core principles of legal due diligence, including risk identification, materiality assessment and reporting techniques, as well as the negotiation and drafting of key SPA provisions such as representations and warranties, indemnities, purchase price mechanisms and closing conditions.

Drawing on our experience in complex domestic and cross-border transactions, our lawyers will illustrate how theoretical concepts are applied in practice, with a focus on current market standards and common negotiation dynamics. The training aims to equip participants with actionable insights and a clearer understanding of how due diligence and SPAs interact throughout the transaction process.
